01Agreement
These Terms of Service ("Terms") govern your use of the CLERK website, apps and related services (the "Service"). By using the Service you agree to these Terms. If you don't agree, don't use the Service.
We may update these Terms. When we do, we'll change the "Last updated" date above, and material changes will be announced on the Service. Continuing to use the Service after a change means you accept it.
02What the Service is
CLERK is software that lets people launch and trade tokens ("coins") on pump.fun and the Solana blockchain, route a coin's creator fees to a public wallet, and distribute those fees according to rules fixed at launch: buybacks, burns, liquidity, and payouts to holders, posters and named creators.
The Service is an interface to public blockchains and third-party protocols. We don't operate pump.fun, PumpSwap or Solana, and we don't control their availability, fees or behaviour.
03Eligibility
To use the Service you must:
- be at least 18 years old and able to form a binding contract;
- not be located in, or a resident or national of, any country or region subject to comprehensive sanctions (including those administered by the U.S. Treasury's OFAC, the UN, the EU or the UK), and not be on any sanctions or restricted-party list;
- not be barred from using the Service under the laws that apply to you.
You are responsible for making sure your use of the Service is legal where you live. We may restrict access from any jurisdiction at any time.
04No custody
CLERK is non-custodial. We never take possession of your wallet, private keys or seed phrase, and we can't move funds from your wallet. Every transaction you make is signed by you.
If you sign in with a social account, an embedded wallet may be created for you by our wallet provider, Privy. That wallet is non-custodial: its keys are controlled by you through Privy's systems, not by us. You are responsible for keeping access to your accounts and wallets secure. Lost keys or accounts can't be recovered by us.
Creator fees routed to the public router wallet are held only to be distributed under each coin's fixed split. Amounts owed to you are not a deposit or an account balance with us.
05Coins are user-created
Every coin on the Service is created by a user, not by CLERK. We don't issue, sponsor, review or endorse any coin, and its name, ticker, image and description are the launcher's responsibility.
A coin named after a creator is not affiliated with that creator unless and until the creator signs in and claims it. Naming someone does not mean they approve of, promote or have any relationship with the coin.
You must not launch coins that impersonate anyone in a misleading way, infringe trademarks or other rights, are designed to deceive buyers, or are otherwise unlawful.
06Creators, claims and takedowns
A creator named in a coin's split can claim it by signing in with the matching account (for example X, TikTok or Twitch) or, for YouTube and Telegram, by placing a one-time code we give them in that channel's public description or bio. After claiming, a creator can keep their share, share part of it with holders, or decline it, in which case it is burned through buybacks or sent to the coin's chosen charity.
If a creator doesn't claim before the coin's claim window closes, their share is redirected to buybacks of the coin as set out in its split. Unclaimed amounts are not held for later collection.
Decline or takedown. If you are a creator and don't want a coin associated with you, you can decline it from the claim page, or email legal@[domain] from a way we can verify (such as a message from the named account). We will remove your name, image and profile from the Service's pages for that coin. Because coins live on a public blockchain, we can't delete the coin itself or stop it trading on pump.fun.
Bring-the-creator bounties are paid once, automatically, under the published rule, and only if the creator claims through the referral link.
07Risks
Using the Service involves serious risk. By using it, you accept that:
- Coins are highly speculative and can lose all of their value within minutes. Most do.
- Prices can be moved by other traders, bots and large holders. Liquidity can disappear.
- Blockchain transactions are final. Mistakes, such as sending to the wrong address, can't be reversed.
- Smart contracts, third-party protocols, wallets and our own software can have bugs, outages or be exploited.
- Buybacks, burns and payouts depend on trading fees. If a coin isn't traded, there is nothing to distribute.
- Laws and taxes on digital assets are changing and may affect you. You are responsible for your own taxes.
Only use money you can afford to lose entirely.
08No investment advice
Nothing on the Service is financial, investment, legal or tax advice, or an offer or solicitation to buy or sell anything. Market data, charts and figures are provided for information only, may be delayed or wrong, and sample data is labelled as such. Do your own research and consult a professional if you need advice.
09Acceptable use
You agree not to:
- use the Service for fraud, market manipulation, money laundering, sanctions evasion or other illegal activity;
- impersonate others, harass anyone, or post illegal, hateful or sexual content involving minors;
- game payouts with fake accounts, bots, bundled wallets or fake engagement;
- interfere with, attack, scrape at abusive rates or reverse-engineer the Service.
We may hide coins, profiles or content from the Service, withhold or review payouts that appear abusive, and suspend access, at our discretion and without notice.
10Third-party services
The Service relies on third parties including pump.fun, Solana RPC providers, Privy (sign-in and embedded wallets), and social platforms such as X, TikTok, Twitch and Google for sign-in, and YouTube and Telegram, whose public channel pages we read to check a creator's verification code. Their terms and privacy policies apply to your use of them, and we aren't responsible for them. CLERK is not affiliated with or endorsed by any of these platforms.
11Intellectual property
The Service's software, design and branding belong to us or our licensors. Content you submit (such as coin names, images and posts) stays yours, but you give us a worldwide, royalty-free licence to display it on the Service. You confirm you have the rights to anything you submit. To report infringing content, email legal@[domain].
12Disclaimers and liability
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise it will be uninterrupted, secure or error-free.
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, tokens, data or goodwill, arising from your use of the Service. Our total liability for any claim is limited to the greater of USD $100 or the amount you paid us in the 12 months before the claim. Some jurisdictions don't allow these limits, so they may not fully apply to you.
You agree to indemnify us against claims arising from your use of the Service, your content, or your breach of these Terms.
13Ending use
You can stop using the Service at any time. We may suspend or end the Service, or your access to it, at any time. Sections that by their nature should survive (such as risks, disclaimers and liability) continue to apply.
